Terms and Conditions for Use of the Tellit App

Effective Date: November 4, 2025

These Terms and Conditions ("Terms") govern your use of the mobile application "Tellit" (the "App"), a product of Xennesis Inc. ("Xennesis," "we," "us," or "our"). By downloading, registering, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

These Terms and Conditions are provided in English only.

1. Definitions

  • "Xennesis Inc." or "Xennesis" means the company that owns and operates the Tellit App.
  • "Tellit App" or "Tellit" means the mobile application and related services provided by Xennesis.
  • "User" means any individual who downloads, accesses, or uses the Tellit App.
  • "Customer" or "Organization" means a homeowners association (HOA), employer, property manager, or other entity that uses Tellit to manage communications or incidents and to which a User may connect their account.
  • "Incident Data" means any information submitted through the App related to issues, reports, or communications.
  • "Registration Data" means name, email, phone number, address, and any other information provided during account creation.

2. Eligibility and U.S.-Only Use

The Tellit App is intended for use only within the United States.

By creating an account, the User represents and warrants that:

  • They are located within the United States; and
  • They are legally permitted to use the Tellit App under applicable U.S. laws.

Users located outside the United States may not use the Tellit App.

3. Account Structure

3.1 Two-Phase Account Creation. Users first create an individual Tellit account. After registration, a User may connect their account to a Customer using a secure method (e.g., QR code).

3.2 Connection to a Customer. When connected, the Customer will receive Registration Data and Incident Data associated with that User. The User may disconnect from the Customer at any time within the Tellit app. After disconnection

  • the Customer will no longer have access to the User’s profile or ongoing activity.
  • Previously exchanged or stored communications may be retained as required for legal, operational, or record-keeping purposes.

3.3 Accuracy of User Information. Users must provide true, accurate, and complete information and must promptly update their information as needed.

4. License and Permitted Use

4.1 License Grant. Xennesis grants the User a limited, non-exclusive, non-transferable license to access and use the Tellit App for personal or organizational purposes.

4.2 Restrictions. Users may not:

  • Resell, sublicense, distribute, or commercially exploit the App;
  • Reverse engineer, decompile, or modify the App;
  • Access the App using automated scripts, scrapers, or bots;
  • Use false information, impersonate others, or misrepresent affiliation;
  • Copy or replicate the App or any part of its functionality.

5. No Resellers or Unauthorized Distribution

Customers and Users may not resell, franchise, sublicense, or otherwise redistribute the Tellit App or access credentials to any third party.

Use is limited to the Customer's own internal purposes.

6. Privacy and Data Sharing

6.1 Data Collected. Tellit collects Registration Data and Incident Data provided by the User.

6.2 Data Sharing with Customers. Upon connection to a Customer, Xennesis may share Registration Data and Incident Data with that Customer for legitimate purposes including:

  • Incident resolution
  • Community or workplace communication
  • Operational or administrative responsibilities
  • Internal statistics or reporting
  • Migration to alternative systems
  • Legal compliance

6.3 Data Export. Xennesis may export Customer-related incident data (including to Excel or similar formats) upon Customer request.

7. Customer Responsibilities

Customers receiving User data must:

  • Use such data only for legitimate operational purposes;
  • Maintain reasonable privacy and security safeguards;
  • Not use Tellit data for unrelated marketing or commercial purposes;
  • Comply with all applicable laws regulating data usage.

Customers are solely responsible for their interactions and communications with Users.

8. Updates to These Terms

8.1 Right to Modify. Xennesis may revise or update these Terms or associated Privacy Policies from time to time.

8.2 Notice of Material Changes. Xennesis will notify Users of material updates by email or in-app notice.

8.3 Acceptance of Updated Terms. Continued use of the Tellit App after the update's effective date constitutes acceptance.

8.4 When Re-Acceptance May Be Required. For significant updates, Xennesis may require Users to affirmatively accept new Terms. Users who do not accept may have their accounts suspended or deleted.

8.5 Customer Notification. Customers are considered notified when Xennesis provides notice to their designated contact.

8.6 No Selective Treatment. All Users may be required to accept the same version of the Terms; differentiated treatment is not technically feasible.

9. Data Portability for Customers

Upon Customer request, Xennesis may provide a reasonable export of:

  • Incident Data
  • Registration Data of Users connected to the Customer

Xennesis is not required to customize export formats or support third-party vendor integration beyond reasonable efforts.

10. Suspension or Termination

Xennesis may suspend or terminate User access at any time for:

  • Failure to comply with these Terms;
  • Failure to accept updated Terms when required;
  • Fraudulent activity;
  • Misuse of the App;
  • Security concerns or legal obligations;
  • Inactivity for a prolonged period (typically twelve (12) months or longer).

Termination may result in deletion of data or loss of access.

11. Customer Disputes and Liability

Xennesis is not responsible for:

  • Actions or omissions of Customers (HOAs, employers, etc.);
  • Decisions or communications made by Customers;
  • Delays or issues caused by the Customer;
  • Incorrect information entered by Users or Customers;
  • Property damage, enforcement actions, or community disputes.

Users understand that Tellit is a communication tool and does not verify the accuracy of content submitted by Users or Customers.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Xennesis is not liable for indirect, incidental, consequential, or punitive damages;
  • Xennesis is not responsible for data loss, delays, system outages, or inaccuracies;
  • Xennesis' total liability will not exceed the amount paid (if any) by the User during the last 12 months.

13. Organizational Use

Organizations (such as HOAs) may contract with Xennesis to use Tellit to communicate with their members. Upon contract:

  • The organization receives access to configure and manage communications within the App.
  • Xennesis may assist in system setup or act as administrator solely on behalf of the organization.
  • The organization is solely responsible for content communicated to its users.

All communication from the App may appear from a Tellit-controlled domain (e.g., tellit-service.com), but this is only a delivery mechanism on behalf of the organization.
